Welcome to Ferried. These Terms of Service ("Terms") govern your access to and use of the Ferried website, mobile application, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.
Important: These Terms contain an arbitration agreement and class action waiver that affect your legal rights. Please read Section 15 carefully.
Ferried operates a technology platform that connects customers who need items shipped ("Customers") with independent drivers who can transport those items ("Drivers"). Ferried is not a shipping carrier, freight broker, or transportation company. We provide the technology platform that facilitates connections between Customers and Drivers.
Drivers are independent contractors, not employees of Ferried. Ferried does not control, and is not responsible for, the actions of Drivers or Customers.
To use the Platform, you must be at least 18 years old and capable of forming a binding contract. By using the Platform, you represent that you meet these requirements.
To register as a Driver, you must additionally: hold a valid driver's license, have access to a suitable vehicle, maintain required insurance coverage, pass any required background checks, and meet any other requirements we may establish.
You must create an account to use most features of the Platform. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You may not transfer your account to anyone else or use another person's account without permission. You must notify us immediately of any unauthorized use of your account.
For Customers: You can post shipment requests describing items to be transported, including pickup and delivery locations, timing, and any special requirements. Drivers may submit bids for your shipment. You choose which bid to accept, if any. Once you accept a bid, a binding agreement is formed between you and the Driver.
For Drivers: You can browse available shipment requests and submit bids. If a Customer accepts your bid, you are obligated to complete the shipment according to the agreed terms. You set your own prices and determine which shipments to bid on.
Payments: Customers pay through the Platform. Ferried collects payment from the Customer and remits payment to the Driver, minus applicable service fees. Payment terms and fee structures are displayed on the Platform.
Ferried charges service fees to facilitate transactions on the Platform. Current fee structures are displayed when you post a shipment or submit a bid. We may change our fees at any time with notice to users. Fees are non-refundable except as expressly stated in these Terms or required by law.
Customer Cancellations: You may cancel a shipment before a Driver has been dispatched. Cancellations after dispatch may be subject to cancellation fees. Refund amounts depend on the timing of cancellation and circumstances.
Driver Cancellations: Drivers who cancel accepted shipments may be subject to penalties, including reduced visibility on the Platform or account suspension. Repeated cancellations may result in permanent removal from the Platform.
Disputes: If there is a dispute regarding a shipment, both parties should first attempt to resolve it directly. Ferried may, at its discretion, mediate disputes and issue refunds or adjustments, but is not obligated to do so.

The following items may not be shipped through the Platform: illegal drugs or controlled substances, weapons and ammunition, explosives and hazardous materials, stolen property, live animals (unless specifically permitted), perishable goods without proper packaging, items requiring special licenses to transport, and any items prohibited by applicable law.
Customers are solely responsible for ensuring shipments comply with all applicable laws. Drivers may refuse any shipment they believe contains prohibited items.
Driver Insurance: Drivers are required to maintain appropriate vehicle insurance. Ferried may provide supplemental coverage for shipments; details are available on the Platform.
Shipment Value: Customers should accurately declare the value of shipped items. Coverage limits apply. For high-value items, Customers should obtain additional insurance.
Limitation of Liability: To the maximum extent permitted by law, Ferried's liability for any claim arising from your use of the Platform is limited to the greater of (a) the fees you paid to Ferried in the 12 months preceding the claim, or (b) $100. Ferried is not liable for any indirect, incidental, special, consequential, or punitive damages.
You agree to indemnify, defend, and hold harmless Ferried and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Platform, your violation of these Terms, your violation of any rights of another, or your shipment of prohibited items.
The Platform and its contents, features, and functionality are owned by Ferried and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our written permission.
By posting content on the Platform (such as shipment descriptions or reviews), you grant Ferried a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with operating the Platform.
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and share your information.
We may modify the Platform or these Terms at any time. We will provide notice of material changes to these Terms by posting the updated Terms on the Platform and updating the 'Last updated' date. Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.
We may suspend or discontinue the Platform or any features at any time without notice or liability.
You may close your account at any time by contacting us. We may suspend or terminate your account at any time for any reason, including if we believe you have violated these Terms.
Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions.
Informal Resolution: Before filing any claim, you agree to try to resolve the dispute informally by contacting us. We'll try to resolve the dispute informally within 60 days.
Arbitration: If we cannot resolve the dispute informally, any dispute arising from these Terms or your use of the Platform will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if eligible.
Class Action Waiver: You agree that any arbitration or proceeding will be limited to the dispute between you and Ferried individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Opt-Out: You may opt out of arbitration by sending written notice within 30 days of first accepting these Terms to legal@ferriedtransport.com.
Governing Law: These Terms are governed by the laws of the jurisdiction where Ferried is incorporated, without regard to conflict of law principles.
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ferried regarding the Platform.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
Assignment: You may not assign your rights under these Terms. We may assign our rights to any affiliate or successor.
